Terms of Service.

These Terms of Service (“Terms”) govern your use of the website and services provided by Gadya LLC (“Gadya,” “we,” “our,” or “us”). By accessing the site or engaging our services, you agree to these Terms.

1. Services

We provide design, engineering, intelligence and payment-processing services as described in a written proposal or engagement letter signed between you and Gadya. Those documents — together with these Terms — form the agreement between us.

2. Fees & payment

Fees, milestones and payment schedules are set out in your engagement letter. Unless otherwise agreed, invoices are due on a net-14 basis. Late balances may accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.

3. Client responsibilities

You agree to provide accurate information, timely feedback, and the access we need (to systems, accounts and content) to deliver the services. Delays caused by client input may affect the schedule and costs.

4. Intellectual property

On full payment, we assign to you the deliverables created specifically for your project, except for (a) our pre-existing tools, methodologies and libraries and (b) any third-party or open-source components, which remain subject to their own licenses. We retain the right to reference the work in our portfolio and case studies in a reasonable, non-confidential manner unless agreed otherwise in writing.

5. Confidentiality

Each party will protect the other’s non-public information, use it only to perform the engagement, and return or destroy it on request, subject to routine backups.

6. Warranties & disclaimers

We provide the services with reasonable skill and care. Except as expressly stated in an engagement letter, the site and services are provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

7. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages. Gadya’s total aggregate liability arising out of or related to these Terms or an engagement will not exceed the fees paid to Gadya for the services giving rise to the claim in the 12 months preceding the event.

8. Termination

Either party may terminate an engagement as set out in the engagement letter. You remain responsible for services performed through the termination date. Sections that by their nature should survive termination will survive.

9. Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law provisions. Venue for any dispute lies in the state or federal courts located in Monmouth County, New Jersey.

10. Changes

We may update these Terms from time to time. Material changes will be posted on this page. Continued use of the site after an update constitutes acceptance.
